Obtaining corporate documents from a country
outside the United States for a closing can
be one of the most frustrating aspects of your

There are several different types of document
retrieval that we provide including: Good standings,
certified copies of corporate documents, status
searches and tax certificates. We can provide
these for all domestic and international jurisdictions
when available.

GOOD STANDINGS:
A Certificate of Good Standing is a certificate
issued by a Companies Registry official as evidence
that a corporation is in existence and active
and has complied with tax requirements, or that
is has filed annual reports or has not yet filed
articles of dissolution. The certificate may
indicate one or all of these items. A good standing
is generally required by all jurisdictions when
qualifying or forming a foreign branch of a
company.
In many countries, particularly in Europe,
certificates of good standing are not available.
A Certified Extract of the Trade Register is
the best substitute for the good standing. The
Trade Register, located generally at the city
not the national level, will issue an excerpt
that gives the particulars on a given company:
name, formation date, name changes, Directors
and filing of annual reports, etc. In these
countries, IBCF will always require the local
street address of the company to obtain this
information.
CERTIFIED COPIES:
All jurisdictions have Companies Registries
that hold corporate documents. The corporate
statute in the jurisdiction determines the public
availability of the documents on file. Corporate
documents that can be retrieved can also be
certified by the jurisdiction.
TAX CERTIFICATES:
A Certificate issued by the registry of companies
indicating that taxes have been paid or not.
Jurisdictions outside the United States rarely
issue tax certificates.
STATUS SEARCHES:
A search on a company that indicates the address
of the company, registered agent name and address,
directors, incorporation/qualification date.
All of this information or parts of it are available
depending on the jurisdiction.
