New Delaware Requirement to Update Communications with Registered Agent; Move to Paper-less Franchise Tax Reports
Delaware has just passed new legislation which applies to all Corporations, Limited Liability Companies, Limited Partnerships and Limited Liability Partnerships formed or registered to do business in the State of Delaware. Effective January 1, 2007, all entities must provide to its registered agent and update from time to time as necessary the name, business address and business telephone number of a natural person who is an officer, director, employee, or designated agent of the corporation, who is then authorized to receive communications from the registered agent. If the entity fails to provide the registered agent with a current communications contact, the registered agent may resign as the registered agent for the entity.
Please note that, for LLCs, this information is NOT a matter of public record and is not filed with the Secretary of State.

Effective December 2006 the State of Delaware will no longer mail paper copies of the Annual Franchise Tax Reports for domestic corporations. A notice of the filing requirement with online filing instructions will be sent to each domestic corporation via the registered agent in lieu of the paper report form.
Remember that annual franchise tax reports are due for corporations on March 1 each year; we will remind you a month or two before the due date.
