**Attention all Delaware Companies**
The Delaware Corporation Annual Report Filing Deadline is
Midnight, March 1st, 2009 and all filings and payments must be done online!
That’s right; the deadline to file your 2008 Delaware Franchise Tax Report for all Delaware Corporations is midnight, March 1st, 2009. Any Corporation which has not filed the report and paid the minimum fee of $100.00 ($75.00 Tax + $25.00 report fee) by the due date will be charged a $100.00 penalty plus interest. Please note that payments and filings must be received by the deadline of March 1st, 2009.
NOTE: The default method for calculating the tax is the authorized share method which usually results in the lowest tax. If a large amount of shares have been issued, the tax may be quite substantial. In this case, it’s possible that lower taxes may result by using the Assumed Par Value Capital Method. Please see the DE web site at http://www.corp.delaware.gov/frtaxcalc.shtml for a complete discussion of the different methods.
Any corporation which has not filed the report and paid the taxes by February 28, 2009 will not be able to obtain a good standing certificate until the report is confirmed as filed and the taxes are showing as paid on the Delaware Secretary of State’s database.
All Limited Liability Companies, Limited Partnerships and General Partnership owners need to take note that the 2008 Delaware taxes will be due June 1, 2009 and the fees for these entities will be $250.00. Please note that payments and filings must be received by the deadline of June 1st, 2009.
