Information required to form a corporation
or Limited Liability Company (LLC) in the US:

Please supply us with two or three choices;
we can generally preclear the name.
State requirements as to corporate indicia
vary but, in general, almost every state
will accept the following endings:
For a corporation: corporation, corp., inc.
incorporated, Limited, Ltd.
For an LLC: Limited Liability Company, LLC,
L.L.C. |

structure. |
Each
state will vary but the tables contained
in state
fees will detail the
maximum allowed stock to enable the payment
of the minimum tax. Please note that stock
structure does not apply to LLCs.
Membership (owner) interests are generally
detailed in the Members Agreement (also
called Operating Agreement or LLC Agreement)
which is NOT filed in the appropriate state. |

Whether it will be managed by a Manager
or by Member(s), their names and whether
they should be named in the formation documents
if not required.
(States are fairly evenly split in this
requirement.) In general, LLCs may now be
perpetual but we generally form with a 50
year life. |

Notes Regarding Fees:
It is difficult to estimate fees because of
varying requirements but these requirements
will generally be included.
Payment, billed in US dollars, can be accepted
through any major credit card, bank check or
bank transfer. With new clients, payment is
generally required in advance until a credit
history has been established.
Corporate and LLC kits:
All kits contain a company seal, sample forms,
and custom-printed Stock or Member certificates
in an attractive loose-leaf binder and sleeve
with the company name imprinted on the spine
- available for $100.00.
The kit is strongly recommended and makes a
very effective client presentation. (International
courier surcharge may apply.)
